TERMS AND CONDITIONS OF USE OF ITR PLATFORM

2. About the ITR Platform and the Services

2.1. The ITR Platform is primarily a technology-enabled service which assists Users in preparing, computing and generating income tax return information or output files based on the information, documents and declarations provided by the Users (“Services”). The Users may choose to: (i) download the prepared tax return data or output file and file their income tax returns directly on the relevant government portal; or (ii) avail services of authorised third-party tax professionals, intermediaries, ERI partners, service providers or other authorised partners integrated with or connected through the Platform to facilitate preparation, conversion, verification, upload or submission of the applicable return or related documents to the Income Tax Department.

WealthSure acts as a technology platform, facilitation layer and service coordination interface. Unless expressly stated otherwise, WealthSure does not act as an authorised E-Return Intermediary (“ERI”) and does not itself transmit income tax returns to the Income Tax Department. Any ERI, tax professional, accountant, consultant, filing partner or authorised intermediary engaged for filing or submission shall be independently responsible for the services rendered by them.

2.2. Tax Return Filing Services

2.2.1. The User acknowledges and agrees that income tax filing, e-filing, return submission, verification, correction, revised filing, updated return filing, response to notices, or any related tax compliance service may be offered through the ITR Platform and may be rendered by WealthSure, its internal team, independent tax professionals, authorised intermediaries, ERI partners or third-party service providers, as applicable.

2.2.2. The User acknowledges that WealthSure may act as a technology facilitator and service coordinator for certain tax filing services. Where services are rendered by a third-party professional, ERI partner, consultant or intermediary, the transaction in respect of such services may be a separate arrangement between the User and such service provider, subject to the terms, conditions and policies applicable to such provider.

2.2.3. Any information received from third-party service providers, ERI partners, tax professionals, consultants, government portals, payment gateways, KYC agencies or other external sources may be displayed on the ITR Platform on an “as is” and “as available” basis. WealthSure shall not be responsible for the accuracy, completeness, timeliness or availability of such third-party information.

2.2.4. The provision of third-party tax filing, ERI, professional, advisory or compliance services through the ITR Platform shall not be construed as a guarantee, warranty, endorsement, recommendation or certification by WealthSure regarding the quality, outcome, accuracy or suitability of such third-party services.

2.2.5. You acknowledge, agree and authorise WealthSure, Rudrriv Solutions Private Limited, its employees, authorised representatives, tax experts, consultants, partners, service providers and third-party intermediaries to collect, store, process, verify, use, transfer and share your information, including personal information, financial information, tax information, PAN, Aadhaar-related details where applicable, Form 16, AIS, TIS, Form 26AS, bank details, salary details, capital gains details, business income details, deductions, exemptions and supporting documents, for the purpose of providing the Services.

2.2.6. Such information may be shared with relevant third parties including, but not limited to, payment gateways, KYC agencies, verification partners, authorised tax professionals, ERI partners, Income Tax Department systems, government portals, technology vendors, cloud service providers and other entities where required for providing the Services, complying with law, resolving disputes, detecting fraud or maintaining records.

2.2.7. WealthSure is constantly improving and innovating its Platform and Services to provide a better user experience. You acknowledge and agree that the form, nature, features, functionality, availability and scope of the ITR Platform and Services may change from time to time without prior notice.

2.2.8. As part of continued development, regulatory updates, technology changes, business decisions or operational requirements, WealthSure may temporarily or permanently modify, suspend, discontinue, restrict or remove any part of the ITR Platform, Services, plans, tools, calculators, features or service flows at its sole discretion, without prior notice.

2.2.9. You may stop using the ITR Platform or Services at any time. You are not required to specifically inform WealthSure when you stop using the Services, unless cancellation, refund, closure, deletion or withdrawal of consent is required under a specific service plan or applicable policy.

2.2.10. You acknowledge and agree that if WealthSure disables, restricts or suspends access to your account, you may be prevented from accessing the Services, account details, uploaded documents, saved data, draft returns, reports, dashboards or other content associated with your account.

2.2.11. Where applicable, you authorise WealthSure, its authorised tax professionals, ERI partners or service providers to access, process, retrieve, verify or use tax-related information for purposes such as preparing ITR, submitting ITR, retrieving ITR-V, checking refund status, reviewing Form 26AS, AIS, TIS, tax credits, demand notices, intimations, compliance records or other information required for tax filing and compliance support.

2.2.12. You agree and understand that in order to provide the ITR Platform and Services, you will be required to submit personal information, financial information, tax information and supporting documents. You shall ensure that all information provided by you is true, accurate, complete, current and not misleading.

2.2.13. To automate preparation of the relevant tax return data or output file, including JSON, XML or any other prescribed format as may be applicable, WealthSure may collect and process information relating to your income, deductions, exemptions, tax credits, investments, dependents, house property, capital gains, business income, foreign assets, bank accounts, refunds, liabilities and any other information required under applicable tax laws.

2.2.14. If you file or request filing of ITRs for another individual, family member, employee, client, organisation, business or entity, you confirm that you have obtained valid, express and informed consent and authorisation from such person or entity. WealthSure shall not be responsible if you provide such information or initiate such filing without proper authority or consent.

2.2.15. You agree to indemnify and hold harmless WealthSure, Rudrriv Solutions Private Limited, its directors, employees, officers, affiliates, consultants, partners and service providers from any claim, loss, damage, liability, penalty, demand, proceeding or expense arising from your failure to obtain consent or authority from the concerned person or entity.

2.2.16. In case of electronic filing, an income tax return shall not be deemed to have been filed unless it is successfully uploaded, submitted and accepted on the relevant Income Tax Department portal or authorised return filing system. You are advised to independently verify your account on the official Income Tax Department portal to confirm that the return has been successfully filed, verified and received.

2.2.17. You acknowledge that you shall be solely responsible for verifying that your ITR has been filed, received, processed and, where applicable, e-verified by the Income Tax Department. You shall take appropriate corrective or alternative action if filing fails, verification is pending, the return is defective, a notice is issued, or any additional information is required.

2.2.18. We recommend that you download, print and retain copies of your ITR, acknowledgement, ITR-V, computation sheet, challans, payment confirmations, refund status, notices, supporting documents and related tax records for your own reference and statutory compliance.

2.2.19. No Warranty: WealthSure takes reasonable care in providing technology-enabled tax filing assistance and may use software checks, expert review, document validation and professional support where applicable. However, WealthSure does not guarantee or warrant that your ITR, computation, tax position, refund claim, deduction claim, exemption claim, tax regime selection, disclosure or filing outcome will be completely accurate, error-free, accepted, processed, approved or free from query by the Income Tax Department.

2.2.20. You are required to carefully review your ITR, tax computation, documents, declarations and final filing data before submission. WealthSure shall not be held liable for any issue arising from incorrect, incomplete, outdated, misleading or omitted information provided by you, or from your failure to review the return before submission.

2.2.21. WealthSure shall not be responsible for any error caused by incorrect user input, missing documents, inaccurate Form 16, mismatch in AIS/TIS/Form 26AS, government portal errors, technical failure, downtime, delayed processing, changes in law, third-party service failure, payment gateway failure, or interpretation of tax law based on incomplete information.

2.2.22. You agree and acknowledge that WealthSure may use external consultants, tax professionals, chartered accountants, legal advisors, technology vendors, data processors, payment service providers, cloud service providers, verification agencies, customer support providers, subcontractors or independent service providers to provide the ITR Platform and applicable Services.

2.2.23. Where such consultants or service providers are used, you authorise WealthSure to share your information with them strictly for the purpose of providing, processing, improving, verifying, supporting or completing the Services, subject to applicable law and our Privacy Policy.

2.2.24. Your use of the ITR Platform and Services is at your sole risk. Subject to applicable laws, WealthSure disclaims all warranties of any kind, whether express, implied, statutory or otherwise, including but not limited to warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy, completeness or reliability of the ITR Platform and Services.

2.2.25. Notwithstanding anything contained in these Terms, you shall defend, indemnify and hold harmless WealthSure, Rudrriv Solutions Private Limited, its affiliates, directors, officers, employees, consultants, partners and service providers from and against any and all damages, actions, proceedings, claims, demands, costs, losses, liabilities, penalties, diminution in value, loss of earnings, loss of profits, loss of revenue, opportunity costs and expenses, including court costs and reasonable legal fees, arising out of or relating to:

• (i) misrepresentation, negligence, fraud, wilful concealment, misconduct or breach of these Terms by you;
• (ii) misuse of the Services or ITR Platform for any illegal, unauthorised, fraudulent or prohibited purpose;
• (iii) any incorrect, incomplete, misleading or unauthorised information, documents or declarations submitted by you;
• (iv) any claims by a third party arising from acts committed or omitted by you;
• (v) filing or attempting to file returns on behalf of another person without proper consent or authority;
• (vi) violation of applicable law, tax law, privacy law, intellectual property rights or third-party rights; and
• (vii) any damage, penalty, demand, tax liability, interest, prosecution, assessment, reassessment or notice arising from your use of the Platform or Services.

2.2.26. By using the ITR Platform and Services, you hereby fully and unconditionally release and discharge WealthSure, Rudrriv Solutions Private Limited, its affiliates, directors, officers, employees, consultants, partners and service providers from claims, demands, losses, damages or liabilities arising out of or in connection with your use of the ITR Platform and Services, except to the extent such liability cannot be excluded under applicable law.

2.2.27. Refund and Cancellation: Questions about refunds, cancellations or payment-related concerns should be addressed to info@wealthsure.in. For self-filing or technology-enabled plans, cancellation or refund may be requested before the filing credit, service access, document processing or filing attempt has been used. Once an e-filing attempt, expert review, document processing, return preparation, consultation or service fulfilment has commenced, refund eligibility shall be governed by WealthSure’s Refund Policy.

2.2.28. For assisted filing plans, expert-assisted plans, advisory plans, notice management services, revised return services, updated return services or any personalised tax support services, refund or cancellation may be available only before an expert, consultant, tax professional or service provider has commenced work on your case. After commencement of work, refund may not be available except as expressly provided in the applicable Refund Policy.

3. Sign-Up and Consent Requirements

3.1. To avail the Services, you may be required to provide necessary details including, but not limited to, your name, mother’s name, father’s name, date of birth, gender, Permanent Account Number (“PAN”), Aadhaar details where applicable, signature, marital status, nominee details, cancelled cheque, photograph, video recording, email address, phone number, educational or professional qualification, business name, business address, nature of business, Tax Deduction and Collection Account Number (“TAN”), bank account details, Unified Payment Interface (“UPI”) ID, payment-related details, income details, tax documents, investment details, insurance details, loan-related information, and such other information as may be required for providing the Services.

3.2. You agree to provide the above information, or any other information that may be necessary or required by WealthSure, Rudrriv Solutions Private Limited, its authorised representatives, experts, consultants, partners or service providers, at the time of sign-up or at any subsequent stage for the purpose of providing, processing, verifying, improving or completing the Services.

You acknowledge that providing your Aadhaar number or Aadhaar-related information is voluntary unless specifically required under applicable law or by an authorised government authority, regulator, financial institution, insurer, lender, KYC agency or service provider. Where permitted, you may choose to provide an alternative valid KYC document.

3.3. You represent and warrant that all information, documents, declarations, confirmations and details provided by you are true, accurate, current, complete and not misleading. You agree not to misrepresent your identity, tax status, residential status, account information, income information, business information, financial position, eligibility or authority to use the Services.

You further agree to keep your account information, contact details, tax records, financial details and supporting documents updated and accurate at all times.

3.4. If you upload, submit or provide information relating to any third party, including a family member, employee, client, customer, business partner, nominee, authorised signatory, director, shareholder, proprietor, partner, karta, trustee or any other person, you shall ensure that such information is provided only after obtaining valid, express and informed consent from such third party.

You shall also ensure that such third party has provided consent for WealthSure, its authorised representatives, experts, consultants, partners and service providers to collect, store, process, verify, use and share such information for the purpose of providing the Services, sending service-related communications, compliance updates, account alerts, payment confirmations, document requests, tax filing updates, promotional offers, partner-led service information and any other communication related to the Services.

If such third party refuses to provide consent, withdraws consent, disputes the use of their information, or objects to receiving communications, you shall immediately stop using the Services in relation to such third party and notify WealthSure where required.

You shall be solely responsible for obtaining and retaining such consent from third parties. WealthSure shall be entitled to assume that valid consent has been obtained by you if you provide any third-party information on or through the ITR Platform.

3.5. If you provide any information that is false, inaccurate, incomplete, outdated, misleading, unauthorised or fraudulent, or if WealthSure has reasonable grounds to suspect that any information provided by you is false, inaccurate, incomplete, outdated, misleading, unauthorised or fraudulent, WealthSure shall be entitled to suspend, restrict or terminate your account and prohibit any current or future use of the ITR Platform or Services by you.

You are responsible for maintaining the confidentiality of your account credentials, login details, OTPs, passwords, device access and profile information. You shall be fully responsible for all activities that occur under your account, whether authorised by you or not, unless such activity is directly caused by WealthSure’s proven wilful misconduct.

3.6. You agree to immediately notify us in writing of any unauthorised access, suspected misuse, disclosure, compromise, security breach, loss of credentials, fraudulent activity, incorrect profile update, unauthorised transaction or any other breach of security relating to your account, profile or use of the Services.

4. Use of and Access to the ITR Platform

4.1. You agree to use the ITR Platform and Services only for lawful purposes and in compliance with all applicable laws and regulations. You shall be solely responsible, liable and accountable for all activities carried out through your use of the ITR Platform or availing of the Services. Subject to applicable law, WealthSure disclaims any liability arising out of your use or misuse of the ITR Platform.

4.2. You understand, accept and agree that any payment facility provided on the ITR Platform is neither a banking nor a financial service. WealthSure acts only as a facilitator providing an electronic payment interface using authorised banking infrastructure, payment gateways and payment aggregator networks. WealthSure does not act as a trustee or in a fiduciary capacity in respect of any transaction conducted through such payment mechanisms.

4.3. Service Level Terms: WealthSure will use commercially reasonable efforts to make the ITR Platform available and provide reasonable technical support in accordance with its standard practices. However, WealthSure does not guarantee uninterrupted or error-free availability of the Platform and shall not be responsible for downtime caused by:

• (a) outages in public internet infrastructure, networks or servers;
• (b) failures of your devices, systems, internet connections or local access services;
• (c) scheduled maintenance or system upgrades;
• (d) failures or downtime of third-party service providers, vendors or partners;
• (e) failures of government systems, Income Tax Department servers, financial institutions, asset management companies or intermediaries;
• (f) events beyond control including strikes, riots, natural disasters, cyber-attacks, hacking, phishing or network interruptions; or
• (g) instructions, actions or restrictions imposed by regulatory or governmental authorities.

4.4. Updates: WealthSure may provide upgrades, patches, enhancements or fixes to the ITR Platform from time to time without additional charge. Such updates shall form part of the Platform and be governed by these Terms. WealthSure reserves the right to discontinue support for older versions or features at its sole discretion.

4.5. The ITR Platform may include products, services or integrations provided by third-party service providers. Such services may be subject to separate terms, conditions and privacy policies of those providers. WealthSure makes no representations or warranties regarding such third-party services and expressly disclaims all liabilities arising from their use. All intellectual property rights in such third-party services remain with their respective owners.

4.6. By accessing or using the ITR Platform or Services, you agree that you shall not:

• 4.6.1. host, upload, publish, transmit or share any information that:
  • (a) belongs to another person without proper rights or authorisation;
  • (b) is defamatory, obscene, pornographic, invasive of privacy, abusive, harassing or unlawful;
  • (c) is harmful to minors;
  • (d) infringes intellectual property rights;
  • (e) violates any applicable law;
  • (f) is misleading, false or deceptive;
  • (g) impersonates another person;
  • (h) threatens national security, public order or sovereignty of India;
  • (i) contains malware, viruses or harmful code;
  • (j) is intended to mislead or cause harm for financial or reputational gain.
• 4.6.2. violate these Terms or any applicable law;
• 4.6.3. engage in fraudulent schemes including pyramid schemes, chain letters or unauthorised surveys;
• 4.6.4. impersonate any person, misrepresent identity, or access accounts without authorisation;
• 4.6.5. infringe intellectual property, privacy or proprietary rights of WealthSure or any third party;
• 4.6.6. use the Platform if you are below 18 years of age;
• 4.6.7. transmit content that is abusive, hateful, defamatory or invasive of privacy;
• 4.6.8. transmit content that is vulgar, offensive or unlawful;
• 4.6.9. refuse to cooperate in verification or provide false identity information;
• 4.6.10. bypass or interfere with security features of the Platform;
• 4.6.11. reverse engineer, decompile or attempt to extract source code except where permitted by law;
• 4.6.12. use the Platform in a way that damages, disrupts or overloads systems;
• 4.6.13. use automated tools, bots or scripts without permission;
• 4.6.14. create derivative works or modify the Platform unlawfully;
• 4.6.15. introduce viruses, malware or harmful software;
• 4.6.16. scrape, copy or monitor the Platform without prior written consent;
• 4.6.17. impose excessive load on infrastructure or networks;
• 4.6.18. use the Platform for illegal or unauthorised activities;
• 4.6.19. collect personal or financial information of other users without consent;
• 4.6.20. use the Services in a way that results in disputes, chargebacks, penalties, liabilities or losses to WealthSure or third parties.

5. Information

5.1. While WealthSure uses commercially reasonable efforts to facilitate the provision of information on the ITR Platform, including but not limited to information on compliance deadlines for filing various tax returns, statutory forms, financial summaries, investment-related information, alerts and status updates, we do not warrant the accuracy, completeness or reliability of such information. WealthSure shall not be responsible for any errors, omissions or for any outcomes arising from the use of or reliance on such information.

Certain links on the ITR Platform may direct you to third-party websites, platforms or services over which WealthSure has no control. If you access such third-party links, your use of those websites shall be governed by the terms, conditions and privacy policies of such third parties. WealthSure encourages you to review such terms and policies before using those platforms.

5.2. Any information made available through the ITR Platform, including compliance deadlines, statutory requirements, tax-related updates, financial insights, news, alerts or guidance, is provided solely for general informational purposes. The application and impact of laws, regulations and tax rules may vary depending on individual circumstances, facts and specific situations.

Due to the evolving nature of laws, regulations and electronic communication systems, such information may be subject to delays, inaccuracies, omissions or changes without notice. Accordingly, the information provided on the ITR Platform should not be construed as legal, tax, accounting, financial, investment or professional advice.

You acknowledge that WealthSure is not engaged in rendering legal, accounting, tax, financial or other professional advisory services through the ITR Platform unless explicitly stated under a separate service agreement. The information available on the Platform is not intended to substitute professional consultation with qualified advisors, including chartered accountants, tax consultants, legal professionals or financial advisors.

Before making any financial, tax, compliance, legal or investment decision, you are advised to consult a qualified professional advisor. Your use of the ITR Platform and reliance on any information contained therein is entirely at your own risk.

5.3. While WealthSure endeavours to source information from reliable and credible sources, we do not guarantee that such information is accurate, complete, up to date or free from errors. WealthSure shall not be responsible for any consequences arising from reliance on such information.

5.4. WealthSure makes no representations or warranties of any kind regarding the accuracy, reliability, completeness, timeliness or suitability of the information available on the ITR Platform or any third-party websites linked through the Platform.

All information provided through the ITR Platform is provided on an “AS IS” and “AS AVAILABLE” basis, without any warranties of any kind, whether express, implied or statutory, including but not limited to warranties of performance, merchantability, fitness for a particular purpose, non-infringement or accuracy. WealthSure shall not be liable for any loss or damage arising directly or indirectly from the use of or reliance on such information.

6. Intellectual Property Rights and Ownership

6.1. WealthSure, operated by Rudrriv Solutions Private Limited, owns all rights, title and interest in and to the design, structure, layout, compilation, look and feel, features and functionality of the ITR Platform. This includes all intellectual property rights such as copyrights, trademarks, service marks, logos, designs, inventions, software, databases and other proprietary rights.

Subject to your compliance with these Terms, WealthSure grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable and royalty-free right to access and use the ITR Platform and Services solely for personal or authorised business use.

6.2. You agree not to copy, reproduce, distribute, modify, reverse engineer, create derivative works from, publicly display, republish, transmit or exploit any content, software or intellectual property available on the ITR Platform except as expressly permitted by WealthSure in writing.

6.3. The ITR Platform may provide summaries of publicly available information, news or third-party content, along with links to original sources. WealthSure does not own intellectual property rights in such third-party content and shall not be responsible for its accuracy, legality or completeness.

6.4. Use of Data: By uploading or submitting any data, information or documents on the ITR Platform, you grant WealthSure and its authorised partners a worldwide, non-exclusive, royalty-free licence to host, use, process, store, analyse, transmit, display and share such data for the purpose of:

• (a) enabling you to use the ITR Platform and Services;
• (b) improving, maintaining and developing the Platform and Services;
• (c) providing new features, services or offerings;
• (d) communicating with you regarding services, updates or offers; and
• (e) complying with applicable laws and regulatory requirements.

The use and protection of such data shall be governed by our Privacy Policy available at www.wealthsure.in.

6.5. Data Loss: You acknowledge that data loss is an inherent risk of using digital platforms. You are solely responsible for maintaining backup copies of all data, documents and records submitted on the ITR Platform.

6.6. No Compensation: In the event of any downtime, access issues, service interruption or data loss, your sole remedy shall be to discontinue use of the ITR Platform. WealthSure shall not be liable for any compensation arising from such events, subject to applicable law.

7. Know Your Customer / Client Requirements

You agree and provide your express consent to provide and share certain information and documents required to verify your identity, eligibility and compliance requirements for using the ITR Platform or availing Services. This may include, but is not limited to, mobile number, email address, date of birth, gender, PAN, Aadhaar (where applicable), signature, marital status, nominee details, cancelled cheque, photograph, video recording and other KYC-related information.

You agree and warrant that all KYC documents and information provided are valid, accurate, complete and up-to-date. You acknowledge that providing false, misleading or incomplete information shall constitute a material breach of these Terms and may result in suspension or termination of your account.

8. Communication Policy

8.1. You agree to receive communications from WealthSure relating to: (i) usage of the ITR Platform or Services; (ii) service updates and notifications; (iii) promotional offers from WealthSure or its partners; and (iv) any other information relevant to the Services. If you provide third-party data, you confirm that you have obtained consent to receive such communications on their behalf.

8.2. Communications may be sent via email, SMS, WhatsApp, push notifications or other electronic means. If your number is registered under the Do Not Disturb (DND) registry, you may not receive certain communications. You shall be responsible for managing your communication preferences.

8.3. WealthSure shall not be responsible for verifying the identity of recipients of communications or for any unauthorised access to such communications.

8.4. Communication services are provided for convenience and may be subject to delays, errors or inaccuracies. WealthSure shall not be liable for any loss arising from reliance on such communications.

8.5. Delivery of communications depends on third-party network providers and infrastructure. WealthSure shall not be responsible for delayed, failed or distorted delivery of messages.

8.6. You acknowledge that WealthSure does not guarantee that files or downloads from the Platform will be free from viruses or harmful components. You are responsible for implementing appropriate security measures.

9. Termination of Access to the ITR Platform

WealthSure reserves the right to suspend, restrict or terminate your access to the ITR Platform or Services, or access to any data, at its sole discretion, including but not limited to the following circumstances:

• (i) violation of these Terms or applicable policies;
• (ii) prolonged inactivity of your account;
• (iii) suspected fraud, misuse, illegal activity or security breach;
• (iv) insolvency, bankruptcy or legal proceedings involving you; or
• (v) any reason deemed necessary by WealthSure to protect its platform, users or business interests.

You agree that WealthSure’s right to terminate or suspend access does not depend on whether a breach has occurred and may be exercised at its sole discretion, subject to applicable law.

10. Warranties and Disclaimers

10.1. WealthSure is a technology platform and service facilitator. WealthSure shall not be responsible for any claims, losses or damages suffered by you, any third party whose information is provided on the ITR Platform, or any other person, arising directly or indirectly from your use of the Platform, including but not limited to any payments made through the Platform or any reliance on the Services.

10.2. YOUR USE OF THE PLATFORM AND SERVICES IS AT YOUR SOLE RISK. THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEALTHSURE, RUDRRIV SOLUTIONS PRIVATE LIMITED, ITS DIRECTORS, EMPLOYEES, AGENTS AND PARTNERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• (i) THAT THE PLATFORM OR SERVICES WILL MEET YOUR REQUIREMENTS;
• (ii) THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE;
• (iii) THAT ANY INFORMATION OBTAINED THROUGH THE PLATFORM WILL BE ACCURATE OR RELIABLE;
• (iv) THAT ANY PRODUCTS, SERVICES OR INFORMATION OBTAINED THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS;
• (v) THAT ANY ERRORS OR DEFECTS WILL BE CORRECTED.

10.3. You acknowledge that certain Services depend on third-party systems including government portals, regulatory authorities, financial institutions, payment gateways and technology providers. WealthSure shall not be liable for any delay, failure, inaccuracy or disruption caused by such third-party systems.

11. Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEALTHSURE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM OR SERVICES, INCLUDING BUT NOT LIMITED TO:

• (i) errors, inaccuracies or bugs in the Platform;
• (ii) unauthorised access to or disclosure of your data;
• (iii) actions or conduct of any third party;
• (iv) disputes between users or between users and third parties;
• (v) service interruptions, delays or failures; or
• (vi) any indirect, incidental, special, consequential or punitive damages.

THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF THE BASIS OF THE CLAIM, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF WEALTHSURE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THESE LIMITATIONS ARE A FUNDAMENTAL BASIS OF THE AGREEMENT BETWEEN YOU AND WEALTHSURE. THE SERVICES WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

12. Indemnification

12.1. You agree to defend, indemnify and hold harmless WealthSure, Rudrriv Solutions Private Limited, its affiliates, directors, officers, employees, partners and service providers from and against any and all claims, damages, liabilities, losses, costs and expenses (including legal fees) arising out of or relating to:

• (i) misrepresentation, negligence, fraud or misconduct by you;
• (ii) misuse of the Platform or Services;
• (iii) violation of applicable laws or these Terms;
• (iv) any third-party claims arising from your actions or omissions;
• (v) submission of incorrect or unauthorised information.

12.2. You acknowledge that any violation of these Terms may cause irreparable harm to WealthSure, for which monetary damages may be inadequate. Accordingly, WealthSure shall be entitled to seek injunctive or equitable relief, in addition to any other remedies available under law.

13. Miscellaneous

13.1. Notice: All communications shall be in writing and shall be deemed valid upon delivery via email, courier or other recognised communication methods.

13.2. Entire Agreement: These Terms constitute the complete agreement between you and WealthSure and supersede all prior communications or agreements.

13.3. Governing Law and Jurisdiction: These Terms shall be governed by the laws of India. Any disputes shall be resolved through arbitration in New Delhi in accordance with the Arbitration and Conciliation Act, 1996. Courts in New Delhi shall have exclusive jurisdiction.

13.4. Severability: If any provision is found invalid, the remaining provisions shall remain in full force and effect.

13.5. Waiver: Failure to enforce any provision shall not constitute a waiver of such provision.

13.6. Relationship: You are not an employee, agent or partner of WealthSure and shall not represent otherwise.

13.7. Assignment: WealthSure may assign its rights and obligations under these Terms without prior notice.

13.8. Survival: Provisions that by nature should survive termination shall continue to apply.

13.9. Force Majeure: WealthSure shall not be liable for failure or delay due to events beyond its reasonable control including natural disasters, war, cyber-attacks, government actions or system failures.

13.10. Records: You are responsible for maintaining copies of your records. WealthSure may retain your data as required by law.

13.11. Fees: WealthSure may charge fees for Services. Non-payment may result in denial or suspension of Services. Pricing shall be displayed on the Platform and may be updated from time to time.
